Duty of care and responsibilities of the management board of a German public company

A consideration of the management responsibilities for duty of care in German public companies, looking particularly at the requirements which follow from paragraph 93 of the German Aktiengesetz AktG and the prohibition of competition imposed on members of the management board (board of directors) by paragraph 88 AktG.
